Terms of Service

1. Acceptance of Terms

By accessing or using the ZumaGrid platform (www.zumagrid.app), mobile applications, hardware devices, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you (or the organisation you represent) and ZumaGrid Trust Infrastructure ("ZumaGrid", "we", "us").

2. Eligibility

• You must be at least 18 years old to use the Platform.
• Institutional accounts must be registered by an authorised representative of the organisation.
• You must provide accurate and complete registration information.

3. Platform Services

ZumaGrid provides security trust infrastructure including but not limited to:

• Digital guard management and patrol verification
• Biometric identity verification systems
• Incident reporting and intelligence registry access
• Estate/community security oversight dashboards
• Hardware procurement and leasing
• Visitor pre-clearance and access control

4. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You must immediately notify ZumaGrid of any unauthorised access to your account.
• You may not share, transfer, or assign your account to another party without written consent.
• Organisations are responsible for managing user access within their institutional accounts.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to reverse-engineer, decompile, or tamper with Platform software or hardware
• Interfere with the operation or security of the Platform
• Submit false information to the intelligence registry
• Use the Platform to harass, stalk, or violate the rights of any person
• Circumvent access controls or role-based permissions

6. Payments & Billing

Institutional subscriptions and hardware leasing are billed according to the pricing agreement executed between ZumaGrid and the subscribing organisation. All fees are non-refundable unless otherwise stated in writing.

• Payments in Nigerian Naira (NGN) are processed via Paystack.
• International payments in USD may be processed via Stripe where available.
• Late payments may result in service suspension after 14 days written notice.

7. Intellectual Property

All intellectual property rights in the Platform, including software, hardware designs, trademarks, and content, are owned by ZumaGrid. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose during the term of your subscription.

8. Data & Privacy

Your use of the Platform is also governed by our Privacy Policy. Institutional clients process data on behalf of their personnel and must ensure compliance with applicable data protection laws within their jurisdiction.

9. Service Availability

ZumaGrid aims to provide continuous platform availability but does not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. Force majeure events, including but not limited to power failures, network outages, and civil unrest, shall not constitute a breach of these Terms.

10. Limitation of Liability

To the maximum extent permitted by Nigerian law, ZumaGrid shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of the Platform. Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Termination

• Either party may terminate the service agreement with 30 days written notice.
• ZumaGrid may immediately terminate access for violation of these Terms.
• Upon termination, your data will be handled in accordance with our Privacy Policy and any applicable data processing agreement.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 14 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance.
